Terms of Service
Plain-English summary (not a substitute for the Terms below): Reckonen is invoicing and follow-up software for trade businesses. You pay a flat monthly fee. Your customers pay you through your own Stripe account — we never hold the money. Your data is yours; you can export or delete it. Don't use the Service to spam people or bill for things you didn't do. Disputes go to individual arbitration in California unless you opt out within 30 days.
Questions: support@withholden.com.
1.The agreement
These Terms of Service (the “Terms”) are a binding agreement between Reckonen Inc. (“Reckonen”, “we”, “us”) and the business or individual that creates an account (“you”, “Customer”). They govern your access to and use of the Reckonen website, web application, hosted invoice and quote pages, APIs, and related services (together, the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not use the Service.
Business use only. The Service is designed for trades and service businesses to invoice their own customers. It is not offered to consumers for personal, family, or household purposes, and you must be at least 18 years old to use it.
2.The Service
Reckonen lets you create quotes and invoices, schedule jobs, store customer and job records (including photos), send documents to your customers by email or text message, accept payments through Stripe, and automatically send payment reminders (“follow-ups”) on unpaid invoices according to a schedule you control.
We may improve, add, or remove features over time. We will give reasonable notice of changes that materially reduce core functionality, except where a change is required for security, legal compliance, or to prevent abuse.
Not accounting, tax, or legal advice. The Service records what you enter and computes totals, tax at rates you choose, and late fees you configure. It does not determine what tax you owe, whether a late fee is lawful in your jurisdiction, or how to keep your books. You are responsible for compliance with the laws that apply to your business.
3.Accounts and security
- You must provide accurate account and business information and keep it current.
- You are responsible for all activity under your account, including by team members you invite. Keep your credentials confidential and tell us immediately at support@withholden.com if you suspect unauthorized access.
- Each paid subscription covers one business (one set of books, one Stripe connected account). You may add unlimited users to that business at no additional charge.
- We may suspend or terminate accounts that violate these Terms, present a security or legal risk, or remain unpaid after notice.
4.Payments and Stripe
Payment processing services for Reckonen users are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the “Stripe Agreements”). By connecting a payments account through the Service you agree to be bound by the Stripe Agreements, as they may be modified by Stripe from time to time. As a condition of Reckonen enabling payment processing through Stripe, you agree to provide Reckonen accurate and complete information about you and your business, and you authorize Reckonen to share it and transaction information related to your use of the payment processing services provided by Stripe.
- Direct charges. When your customer pays an invoice, the charge is made on your Stripe connected account. Funds are settled by Stripe directly to your bank account under Stripe’s payout schedule. Reckonen does not hold, custody, or control your funds and is not a money transmitter, bank, or payment processor.
- Fees. Stripe’s processing fees apply to each payment and are deducted by Stripe. Reckonen charges a platform fee on invoice payments as disclosed in the app (Settings → Payments & billing); it is collected by Stripe from the payment as an application fee.
- Disputes and refunds. Chargebacks, disputes, refunds, and any resulting fees or negative balances on your connected account are your responsibility. You may manage them in your Stripe Express dashboard.
- Identity verification. Stripe may require identity, tax, and bank information to enable payments and payouts. Reckonen cannot enable payments until Stripe’s requirements are met.
- Prohibited businesses. You may not use the Service to accept payment for anything on Stripe’s restricted businesses list.
5.Subscription, fees, and trials
- Price. The Service is offered at a flat monthly price shown at signup and in the app (currently US$29 per month per business), plus applicable taxes. There are no per-user or per-invoice charges from Reckonen.
- Trial. New businesses receive a free trial of the length stated at signup. Unless you cancel before the trial ends, your subscription begins and your payment method is charged.
- Billing. Subscriptions renew monthly and are billed in advance through Stripe to the payment method on file. You authorize recurring charges until you cancel.
- Cancellation. You may cancel any time from Settings → Billing portal. Cancellation takes effect at the end of the current billing period; you keep access until then. Fees already paid are non-refundable except where required by law.
- Price changes. We may change the subscription price with at least 30 days’ notice by email. Continuing to use the Service after the change takes effect constitutes acceptance.
- Non-payment. If a renewal charge fails we will retry and notify you. If payment is not received within 14 days we may suspend access. Your data remains available for export for at least 60 days after suspension.
6.Your content and your customers’ data
You retain all rights to the information you enter or upload — business details, logos, customer and contact records, quotes, invoices, job notes, and photos (“Customer Data”). You grant Reckonen a limited, non-exclusive license to host, process, transmit, display, and back up Customer Data solely to provide, secure, and improve the Service and as otherwise permitted by these Terms and the Privacy Policy.
You are the controller of your customers’ data. Your customers are not Reckonen’s customers. When you enter their names, addresses, emails, and phone numbers, you represent that you have the right to do so and a lawful basis to contact them, and that you will honor their requests (for example, to stop text messages or to be deleted). Reckonen processes that data as your service provider / processor under the Data Processing Addendum described in the Privacy Policy.
Messages sent on your behalf. Invoices, quotes, and follow-up reminders are sent in your name to recipients you choose. You are responsible for their content and for compliance with laws governing commercial email and text messages (including CAN-SPAM and the TCPA in the United States). You may not use the Service to send unsolicited marketing.
Export and deletion. You may export your Customer Data at any time in common formats (PDF, CSV) from the app. On termination we delete Customer Data within 90 days, except backups (purged on their normal rotation, no longer than 35 days after) and records we must keep for legal, tax, or fraud-prevention reasons.
7.Acceptable use
You agree not to, and not to allow anyone using your account to:
- use the Service to invoice for goods or services that are illegal, fraudulent, or that you did not provide;
- send messages that are deceptive, harassing, or that violate anti-spam or telemarketing laws;
- upload content that infringes intellectual property rights, is unlawful, or contains malware;
- probe, scan, or test the vulnerability of the Service, bypass authentication, or interfere with its operation;
- access the Service by automated means other than our documented APIs, or resell or sublicense it without our written consent;
- reverse engineer the Service except to the extent applicable law prohibits that restriction.
We may remove content or suspend accounts that we reasonably believe violate this section.
8.Intellectual property and feedback
The Service, including its software, design, templates, trademarks, and documentation, is owned by Reckonen and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business during your subscription. Invoice and quote templates may be used only to generate documents through the Service.
If you send us ideas or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
9.Third-party services
The Service relies on third parties, including Stripe (payments and identity verification), Supabase (database, authentication, file storage), Vercel (hosting), Resend (email delivery), and, if you enable text reminders, Twilio (SMS). Their services are governed by their own terms and privacy policies. We are not responsible for third-party services, and features that depend on them may be unavailable if those services are.
10.Availability, support, and beta features
We aim for the Service to be available 24×7 but do not guarantee uninterrupted access. We may perform maintenance, and we will try to schedule disruptive maintenance outside US business hours. Support is provided by email at support@withholden.com; we aim to respond within one business day.
Features labeled beta, preview, or early access are provided as-is, may change or be withdrawn, and are excluded from any availability commitment.
11.Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available.” To the fullest extent permitted by law, Reckonen disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be error-free, that payments will be collected, that reminders will result in payment, or that tax or late-fee calculations satisfy any legal requirement. You use the Service at your own risk.
12.Limitation of liability
To the fullest extent permitted by law, Reckonen and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility. Reckonen’s total liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid Reckonen in the twelve months before the claim, and (b) US$100.
These limits do not apply to liability that cannot be limited by law, to either party’s indemnification obligations, or to a party’s willful misconduct. Some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.
13.Indemnification
You will defend, indemnify, and hold harmless Reckonen from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from (a) Customer Data, (b) messages you send through the Service, (c) your products or services and your dealings with your customers, (d) chargebacks, disputes, or negative balances on your Stripe account, or (e) your violation of these Terms or applicable law.
14.Term and termination
These Terms apply from the moment you first use the Service until your account is closed. You may close your account at any time from Settings. We may terminate or suspend the Service for material breach that is not cured within 10 days of notice, immediately for breaches of Acceptable Use or the Stripe Agreements, or on 30 days’ notice if we discontinue the Service (in which case we will refund any prepaid fees for the unused period).
Sections that by their nature should survive termination do, including Your content, Disclaimers, Limitation of liability, Indemnification, and Disputes.
15.Governing law and disputes
These Terms are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution first. Before filing a claim, you agree to contact us at support@withholden.com and give us 30 days to try to resolve it.
Arbitration. Any dispute not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in San Joaquin County, California, or by video conference. Judgment on the award may be entered in any court of competent jurisdiction. Either party may bring claims in small-claims court, and either may seek injunctive relief in court for infringement or misuse of intellectual property or Customer Data.
Class-action waiver. Disputes will be resolved only on an individual basis; neither party may bring a claim as a plaintiff or class member in a class, consolidated, or representative action.
Opt-out. You may opt out of arbitration by emailing support@withholden.com with the subject “Arbitration opt-out” within 30 days of first accepting these Terms. If you opt out, disputes will be heard exclusively in the state or federal courts located in San Joaquin County, California, and you consent to their jurisdiction.
16.Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the app before they take effect. The “Effective” date above shows the current version. Continuing to use the Service after the effective date means you accept the updated Terms; if you do not, cancel before then.
17.General
- Entire agreement. These Terms, the Privacy Policy, and any order or in-app pricing page you accept are the entire agreement between us regarding the Service and supersede prior agreements.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
- Severability; waiver. If a provision is unenforceable, the rest remains in effect. A failure to enforce is not a waiver.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices. All notices under these Terms are given by email. We will send notices to your account email address; send notices to us at support@withholden.com. Email notice is effective when sent, provided the sender does not receive a delivery failure.
- US government users. The Service is “commercial computer software” under FAR 12.212 and DFARS 227.7202.
